Israeli M&A is heavily shaped by US buyers and US-aligned deal mechanics. The Israel-specific overlays - ITA pre-rulings, IIA royalty obligations, Section 102 plan treatment - are where most of the country-specific complexity sits.

US-style deal mechanics

Most Israeli tech M&A deals use US-aligned documentation and mechanics - completion accounts with working-capital adjustments, representations & warranties, escrow or R&W insurance. The buyer base is dominated by US strategics and US-Israel-active PE firms, which sets the template.

R&W insurance is standard

Representations & Warranties insurance is standard in Israeli tech M&A deals above roughly $20M. Premium and retention terms mirror the US market; the policy effectively replaces traditional escrow as the primary protection mechanism.

ITA pre-ruling on tax treatment

Most material Israeli M&A deals are submitted to the Israel Tax Authority for a pre-ruling on the tax treatment - particularly where the deal involves stock-for-stock consideration, corporate inversions, earn-outs or rollover equity. The pre-ruling process can add several weeks to closing but provides certainty on the founder's after-tax outcome.

IIA royalty redemption

Where the target has received IIA R&D funding, any change of control involving IP transfer outside Israel triggers IIA consent and a redemption payment - typically six times the grant amount or a proportional share of company value. Material consideration that must be modelled into the deal economics from the outset.

Section 102 options on exit

Option holders under Section 102 (capital gains track) accelerate or roll into the exit at the 25% capital gains rate, subject to meeting the 24-month holding period. Acceleration on change of control is standard in Israeli option agreements; the trustee handles the disposition and tax withholding mechanics.

Antitrust and foreign-buyer review

Israel Competition Authority merger control applies above the relevant turnover thresholds. The Defence Export Control Agency reviews transactions involving dual-use or defence-adjacent technology. Most pure-software deals do not trigger either, but AI, cybersecurity and defence-tech targets routinely do.
