Irish M&A follows UK and European mid-market conventions, with country-specific overlays around Entrepreneur Relief, the participation exemption and the Investment Screening Act now adding a regulatory layer in scoped sectors.

Locked-box dominates

Irish private-company M&A is overwhelmingly locked-box, mirroring UK practice. Price fixed against a recent balance sheet, with a value accrual mechanic between locked-box date and completion. Completion accounts used in larger or more complex deals, particularly PE-led.

W&I insurance is standard

Warranty & indemnity insurance is now standard in Irish deals above roughly €10M. Premiums (0.8–1.5% of cover) typically paid by the seller, the buyer or split. Replaces traditional escrow as the main protection mechanism.

Investment Screening Act 2023

Mandatory pre-completion notification for non-EU investors taking material stakes in Irish companies in sensitive sectors - defence, dual-use, AI, critical infrastructure, biotech. Came into force in 2024. Adds notification time and conditions to scoped transactions.

Entrepreneur Relief on founder tax

Entrepreneur Relief reduces CGT to 10% on the first €1M of lifetime qualifying gains for founders disposing of shares in their trading company. Requires 5%+ shareholding, working director status and a 3-year holding period. The Irish equivalent of UK BADR and worth checking against the cap table well ahead of any sale.

Participation exemption (Section 626B)

Sales of shares in a trading subsidiary by an Irish corporate seller can be free of Irish corporation tax under Section 626B TCA 1997 - broadly the Irish equivalent of UK SSE. Typically requires 5%+ holding for 12 months and a qualifying trading group. Often drives whether a transaction is structured as a share or asset deal.

Merger control thresholds

The Competition and Consumer Protection Commission reviews mergers where the parties' combined Irish turnover exceeds €60M and at least two parties each have €10M+ of Irish turnover. Most tech transactions don't trigger but always worth checking when the target has material Irish consumer reach.
