Ireland's VC market is small but well-organised - Enterprise Ireland anchors most seed rounds, a handful of dedicated Irish funds operate alongside UK and continental VCs, and round documentation is broadly aligned with UK and BVCA conventions.
Documentation conventions
Irish VC rounds typically use UK-style documentation aligned with BVCA model documents, adapted for Irish company law (Companies Act 2014). The Irish Venture Capital Association coordinates industry standards but does not publish a single universal template.
Pre-priced rounds
Convertible loan notes are the standard pre-priced instrument in Ireland - conversion at the next priced round at a discount or capped valuation. SAFEs and ASAs are used less commonly, mostly when the lead investor is US- or UK-based and brings their preferred template.
Enterprise Ireland co-investment
Enterprise Ireland co-invests alongside private VCs at the HPSU stage. EI's preference shares, valuation expectations and information rights are well-defined and routinely accommodated in the round documents. Most Irish seed rounds either feature EI directly or are structured to remain EI-compatible.
Round structure norms
Priced rounds use 1x non-participating liquidation preference with broad-based weighted average anti-dilution. Founder vesting (4-year, 1-year cliff) is standard. Where Enterprise Ireland is in the round, additional EI-specific information and reporting rights apply.
Investment Screening Act
The Screening of Third Country Transactions Act 2023 (in force from 2024) introduced a mandatory notification regime for non-EU investors taking material stakes in Irish companies in sensitive sectors - defence, dual-use, critical infrastructure, AI, biotech. Adds notification time and conditions to scoped transactions.
Closing mechanics
Closings are typically same-day signing and funding with documents executed via DocuSign. Companies House Ireland (CRO) filings for share issues and resolution amendments are submitted shortly after close. Stamp duty (1%) applies to share transfers but not to newly issued shares.
