Most material rounds at Series A and later involve an offshore holding structure (Delaware) for international investor familiarity. Most venture-backed Mexican rounds use offshore-parent (Delaware) NVCA-aligned documentation, with Mexican-law side documents for the operating subsidiary. Pure-Mexican rounds adapt to Sociedad Anónima Promotora de Inversión (S.A.P.I.) mechanics.
