Capital raising services in South Africa

South Africa's VC market is the most active in Sub-Saharan Africa by capital deployed, with Knife Capital, Naspers Foundry, Kalon Venture Partners and a deep cross-border investor base anchoring growth-stage deal flow along the Joburg/Cape Town corridor.

Notable capital raises include Yoco's USD 83M Series C, Lulalend's growth rounds, SweepSouth and Mama Money securing international backing - demonstrating that South African founders can access US, European and Israeli growth capital from a local operating base.

Flow runs end-to-end VC fundraising processes for mid- to late-stage South African companies seeking growth capital on the best available terms, drawing on an extensive VC investor network across South Africa and internationally - managing investor outreach, pitch deck and operating model preparation, and the full closing process.

Raising venture capital in South Africa

South Africa's VC market is the most active in Sub-Saharan Africa, with Cape Town and Johannesburg as the main hubs. Cross-border participation from European, US and increasingly African pan-regional investors common at growth stage.

SAVCA-aligned documentation

The Southern African Venture Capital and Private Equity Association (SAVCA) coordinates industry conventions. Most South African Series A and later rounds use English-language documentation aligned with international (often UK or US) templates adapted for the Companies Act 71 of 2008.

Convertible notes and SAFEs

Convertible loan notes are the standard pre-priced instrument in South Africa. Y Combinator SAFEs are increasingly used where US investors lead and there is a Delaware parent. Conversion typically at the next priced round at a discount or capped valuation.

Round structure norms

Priced rounds use 1x non-participating liquidation preference with broad-based weighted average anti-dilution. Founder vesting (4-year, 1-year cliff) is increasingly standard. South African Pty Ltd structures support venture-stage rounds well.

Holding structure choice

Some venture-backed South African companies operate via an offshore parent (Mauritius, Delaware, UK) over South African operating subsidiaries - often for FX, exchange control and exit considerations. The structuring choice has material tax and exchange control implications.

Exchange control

South African Reserve Bank exchange control regulations materially shape cross-border flows. Capital exports and loop structures (offshore holding entities investing back into South Africa) require SARB approval in many cases. Material structuring consideration.

Closing mechanics

Closings are typically same-day signing and funding with documents executed via DocuSign. CIPC filings for share issues and amendments follow shortly after close. South African Stamp duty does not apply; securities transfer tax (STT) of 0.25% applies to share transfers.

What if not VC? Non-equity funding in South Africa

South Africa's non-dilutive funding stack is the most developed in Sub-Saharan Africa - between Section 11D R&D incentive, TIA grants, IDC growth lending and a deep angel network, South African startups have multiple paths to extend runway.

Section 11D R&D incentive

100% additional deduction on qualifying R&D expenditure (reduced from 150% in 2024). Subject to Department of Science and Innovation pre-approval. The main tax-based non-dilutive incentive for South African tech.

TIA grants

Technology Innovation Agency provides R&D and innovation grants. Programmes vary by call and sector focus; useful for deeptech, biotech and climate-tech.

IDC and SEFA financing

IDC provides equity, mezzanine and growth lending; SEFA provides SME-focused lending. Often used alongside private VC for working capital and growth.

South African angel ecosystem

Naspers, Luno, Yoco and other South African tech alumni anchor the largest angel scene in Sub-Saharan Africa. AngelHub Ventures, Jozi Angels and dedicated networks coordinate structured angel investment.

B-BBEE incentives

Broad-Based Black Economic Empowerment compliance creates structural advantages for B-BBEE-compliant companies in procurement, financing access and certain regulatory contexts. Not a direct funding source but materially shapes the South African operating environment.

Cross-border venture debt

South African venture debt is emerging. Cross-border providers and local development finance institutions provide ARR-backed lending. Typically deployed from Series A onwards.

Access relevant investors

Our close relationships with leading late-stage VC and growth equity investors as well as non-traditional capital providers, like family offices and sovereign wealth funds, enable us to find best-fit partners for a given scenario.
