Capital raising services in Hungary

Hungary's venture market is one of the most institutionally active in CEE, with Hiventures state co-investment anchoring seed and Series A alongside a growing private VC base.

Bitrise, Prezi and LogMeIn (acquired for over $4bn) have demonstrated Hungary's ability to produce globally competitive B2B software, drawing in European and US co-investors at growth stage.

Flow works with mid- to late-stage Hungarian companies seeking to raise growth capital on the best possible terms - providing an extensive VC investor network, fundraise preparation and pitch deck building, operating and financial model construction, and end-to-end process management from investor introduction through to close.

Raising venture capital in Hungary

Hungary's VC market is mid-sized by CEE standards, with Budapest as the centre. Hiventures and Széchenyi Funds anchor public co-investment; local VCs and cross-border European/US funds make up the private base.

Hungarian VC industry conventions

Hungarian venture rounds typically use documentation aligned with Hungarian Venture Capital Association (HVCA) and broader CEE conventions. Series A and later rounds frequently use Hiventures-aligned terms given its dominant role in the Hungarian VC ecosystem.

Convertible loans and SAFEs

Convertible loan notes are the standard pre-priced instrument in Hungary. SAFEs are used occasionally where the lead investor is US-based. Conversion typically at the next priced round at a discount or capped valuation.

Round structure norms

Priced rounds use 1x non-participating liquidation preference with broad-based weighted average anti-dilution. Founder vesting (4-year, 1-year cliff) is increasingly standard. Hungarian Kft. and Zrt. structures require shareholder resolutions plus Court Register filings for share issues.

Hiventures co-investment

Hiventures co-invests at seed and Series A alongside private VCs. Its preference structures, information rights and reporting requirements are well-defined and routinely accommodated in round documents. Often the institutional anchor in Hungarian seed and early Series A rounds.

Foreign investment screening

Hungary operates a relatively broad FDI screening regime, with notification required for non-EEA investors taking qualifying stakes in Hungarian companies across many sectors. Adds notification time and conditions to scoped transactions.

Closing mechanics

Capital increases and share transfers in Hungarian Kft. and Zrt. companies require Court Register filings. Closings are typically same-day signing and funding with documents executed via DocuSign for non-notarial elements.

What if not VC? Non-equity funding in Hungary

Hungary's non-dilutive funding stack is moderate by European standards - the R&D super-deduction, EU funding access and Hiventures non-equity instruments provide the main non-VC capital paths for Hungarian startups.

R&D super-deduction

100% R&D super-deduction effectively reduces the cost of R&D by the corporate tax rate. Combined with Hungary's 9% headline rate, the post-tax cost of R&D is unusually low by European standards.

Hiventures non-equity instruments

Hiventures provides convertible loans, mezzanine instruments and venture debt-style products alongside its equity investments. Often used to extend non-dilutive runway in combination with equity rounds.

EU Recovery and Resilience Plan

Hungarian EU Recovery and Resilience Plan funding (where it has been disbursed) flows through ministerial agencies for R&D, digitalisation and the green transition. Slow but materially valuable for qualifying companies.

EU funding access

Hungarian companies have full access to Horizon Europe programmes - EIC Accelerator grants (up to €2.5M), EIC Pathfinder, Eurostars and others. Plus structural EU funding for R&D and digital transformation.

Hungarian angel ecosystem

Hungary has a small but active angel scene driven by Prezi, NNG (iGO), LogMeIn and other Hungarian operator alumni. Tickets typically €25k-200k per investor; structured rounds often syndicated across 5-15 angels.

Cross-border venture debt

Kreos Capital, Claret Capital Partners and HSBC Innovation Banking operate in Hungary via cross-border lending. Typically deployed against ARR or contracted revenue from Series A onwards.
