Raising venture capital in France

France has the largest VC market in continental Europe by capital deployed, with Paris as the centre and active funds out of Lyon, Marseille and the broader French Tech ecosystem. Most rounds use France Invest model documents and a familiar set of pre-priced instruments for bridges.

France Invest model documents

France Invest (the French private capital association, formerly AFIC) publishes the model term sheet, shareholders' agreement and articles used as the starting point for most VC rounds. Series A and later rounds tend to negotiate around these documents rather than draft from scratch.

BSA-AIR (French SAFE)

Bon de Souscription d'Actions à Investissement Réutilisable - the French equivalent of a US SAFE or UK ASA. Used for pre-priced bridge rounds with a conversion at the next round at a discount or capped valuation. Less universal than US SAFEs but the standard format when convertibles are used.

Round structure norms

Priced equity rounds dominate from seed onwards. Standard preference structure is 1x non-participating liquidation preference with broad-based weighted average anti-dilution. French boards tend to have slightly more shareholder representation than UK equivalents, reflecting the legal distinction between the conseil d'administration and the comité de direction.

IR-PME shapes seed economics

French angel and seed rounds are frequently structured to preserve IR-PME eligibility for individual investors - 25% income tax credit, capped tickets, five-year holding requirement. Some seed VC funds (FCPI, FIP, FCPR) carry their own tax-advantaged status that imposes additional structuring constraints.

Foreign investment review

Investissements Étrangers en France (IEF), administered by DG Trésor at Bercy, requires pre-completion authorisation for non-EU investors acquiring control of a French company in roughly 17 sensitive sectors (defence, AI, dual-use, critical infrastructure). Even minority US-led seed rounds can require notification when the target sits in scope.

Closing mechanics

Closings typically involve a capital increase recorded by a notary or in the company's registers, followed by formalities at the Greffe du Tribunal de Commerce. Transfer of shares attracts a 0.1% registration duty (droits d'enregistrement) on share transfers - newly issued shares are exempt.

France has the deepest non-dilutive funding stack in Europe - between Bpifrance, the CIR, JEI status and IR-PME-driven angel capital, a typical French startup can run for 18-24 months without ever signing a VC term sheet.

IR-PME / Madelin angel rounds

Individual investors get a 25% income tax credit for investing in qualifying SMEs, capped at €50k single / €100k joint per year. Five-year holding requirement to preserve the credit. The largest single driver of structured French angel investment outside professional funds.

Crédit Impôt Recherche

30% cash refund on the first €100M of qualifying R&D spend (5% above), paid within roughly nine months for SMEs and JEIs. Often the single largest source of non-dilutive cash for an early-stage French tech company; can equal a full seed round in size for R&D-heavy businesses.

Bpifrance grants and loans

Bpifrance offers innovation grants, zero-interest Prêt Innovation and Prêt Amorçage loans, plus equity co-investment alongside private VCs. The single largest source of state-backed startup capital in Europe; most French Series A rounds include a Bpifrance ticket.

JEI status

Jeune Entreprise Innovante status exempts employer social charges on R&D personnel for up to eight years. For an early-stage tech company with five engineers on payroll, the saving is typically €100k+ per year. Stacks cleanly with the CIR.

Crowdfunding

Wiseed and Anaxago are the two main French equity crowdfunding platforms, both authorised by the AMF. Used for raises typically from €300k to €2M, often layered on top of a lead investor. Useful for consumer brands and impact-driven companies looking to combine capital with community.

Venture debt

Bpifrance Prêt Croissance and Prêt Innovation cover the public side. Kreos, Bootstrap Europe and Claret Capital Partners are the main private venture debt providers active in France. Typically used post-Series A to extend runway without dilution.
