How to fund your startup in Hungary

Hungary has one of the larger tech ecosystems in CEE, anchored by Budapest and supported by Hiventures (state VC), Széchenyi Funds and one of Europe's lowest corporate tax rates at 9%.

Low corporate tax rate

Hungary's headline corporate income tax rate is 9% - the lowest in the EU. Local business tax (HIPA) adds up to 2% in most municipalities. Combined effective rate of ~11% is materially below most European peers and shapes long-term tax planning for Hungarian-incorporated companies.

Hungarian R&D super-deduction

Hungary provides an R&D super-deduction - qualifying R&D expenditure is deductible at 100% against corporate income tax, with additional regional and personnel-related multipliers in some cases. Materially reduces the effective cost of R&D for Hungarian tech companies.

Hiventures and Széchenyi Funds

Hiventures is the state-backed venture investor, providing seed and Series A equity. Széchenyi Funds operates alongside as a fund-of-funds and direct co-investor. Together they anchor most Hungarian seed and early Series A rounds.

EU Recovery and Resilience Plan

Hungarian EU Recovery and Resilience Plan funding (where it has been disbursed) flows through ministerial agencies for R&D, digitalisation and the green transition. Programmes vary by call; worth checking the current calendar.

Hungarian VC ecosystem

Hungary's VC scene has grown materially in the last decade. Active funds include Day One Capital, Lead Ventures, OTP Capital and X-Ventures. Cross-border participation from European and US investors is common at growth stage.

Hungary's employee equity regime is workable but less developed than Western European equivalents. Standard options are taxed at exercise as employment income; phantom and virtual schemes are widely used.

Standard stock options

Hungarian stock options are taxed at exercise on the spread as employment income. Less favourable than UK EMI or French BSPCE; most venture-backed Hungarian startups structure plans to minimise the tax-at-exercise hit through grant pricing and careful timing.

Phantom shares and SARs

Cash-settled equity-like instruments are widely used in Hungarian startups, particularly for early-stage grants where avoiding tax-at-exercise complications matters. The holder receives a cash bonus equal to the value of a notional option at exit. Taxed as employment income at payout.

Restricted Stock Units (RSUs)

Used at later-stage Hungarian companies, particularly those with US investors. Taxed as employment income at vesting at marginal rates. Less common in early-stage venture-backed startups.

Direct share grants

Direct grants of Hungarian Kft. (limited liability) or Zrt. (private joint-stock) shares are possible but generate immediate taxable employment income on the grant value. Used selectively for senior hires.

Option valuation

Hungarian startups typically peg option strike values to the price of the most recent priced round. Independent valuations are useful for material grant programmes to support the Hungarian tax authority position on fair market value.

Reporting and NAV

Option exercises flow through Hungarian payroll for personal income tax and social contributions. Annual employer reporting on equity events required. Worth aligning between cap-table tool, Hungarian payroll provider and tax advisor.
