How to fund your startup in Colombia

Colombia has the third-largest tech ecosystem in Latin America by capital deployed, anchored by Bogotá and Medellín. Public funding via iNNpulsa, Bancóldex and Findeter sits alongside a growing private VC scene driven by Rappi, Habi and Frubana alumni.

iNNpulsa Colombia

iNNpulsa Colombia is the federal innovation and entrepreneurship agency. Provides grants, acceleration support and credit guarantees for Colombian startups and SMEs. The main public-sector capital source for early-stage Colombian tech.

Bancóldex and Findeter

Bancóldex and Findeter are the Colombian federal development banks. Provide subsidised lending, guarantees and growth financing for SMEs and exporters. Often complementary to private VC for working capital.

Colombian R&D incentives

Colombia provides R&D and innovation tax incentives - including a 25% income tax credit on qualifying R&D expenditure (subject to certification by Minciencias) and reductions for innovation-related investment. Less generous than Brazilian Lei do Bem but still material.

Colombian VC ecosystem

Active funds include Veronorte Capital, NXTP Ventures, Kaszek, Cube Ventures, Magma Partners and Polymath. Cross-border participation from Mexican, Brazilian, US and European investors common at growth stage, particularly after Rappi's Series F.

Colombian angel ecosystem

Colombia has a growing angel scene driven by Rappi, Habi, Frubana, Truora and other Colombian tech alumni. Capitalia, HubBOG Investments and dedicated networks coordinate structured angel investment.

Cross-border venture debt

Colombian venture debt is limited. Cross-border providers (Sympatico Capital, Partners for Growth) operate in Colombia alongside Bancóldex-backed lending. Typically deployed against ARR or contracted revenue from Series A onwards.

Employee equity schemes in Colombia

Colombian employee equity is administratively heavy. Most venture-backed Colombian startups operate via an offshore holding entity (Delaware) for ESOP simplicity; phantom and virtual schemes are widely used in pure-Colombian structures.

Standard stock options

Colombian stock options are typically taxed at exercise as employment income at marginal rates (up to 39% individual income tax). Less favourable than UK EMI; case-by-case structuring around grant pricing matters.

Offshore (Delaware) ESOPs

Most venture-backed Colombian startups operate via a Delaware holding parent over Colombian operating subsidiaries. ESOPs at the offshore parent benefit from cleaner cap-table mechanics; Colombian-resident employees still face Colombian tax on exercise under source rules.

Phantom shares and SARs

Cash-settled equity-like instruments are widely used in Colombian startups, particularly in pure-Colombian structures. The holder receives a cash bonus equal to the value of a notional option at exit. Taxed as employment income at payout.

Restricted Stock Units (RSUs)

Used at later-stage Colombian companies, particularly Delaware-parent structures with US investors. Taxed as employment income at vesting at marginal rates for Colombian-resident employees.

Option valuation

Colombian startups typically peg option strike values to the price of the most recent priced round (often in USD via the offshore parent). Independent valuations are useful for material grant programmes to support the DIAN (Colombian tax authority) position.

Reporting and DIAN

Option exercises flow through Colombian payroll for income tax (Retención en la Fuente) and social security contributions. Annual employer reporting required. Worth aligning between cap-table tool, Colombian payroll provider and tax advisor.
