How to fund your startup in Peru

Peru has a small but growing tech ecosystem, anchored by Lima. Public funding via ProInnóvate (formerly Innóvate Perú) sits alongside a small but active VC scene with cross-border participation from Mexican, Brazilian and US investors.

ProInnóvate Perú

ProInnóvate (formerly Innóvate Perú) administers federal innovation grants and acceleration support. Programmes cover early-stage prototyping, R&D co-funding and growth-stage validation. The main public-sector non-dilutive capital source for Peruvian startups.

COFIDE financing

COFIDE is the Peruvian development finance corporation. Provides subsidised lending and guarantees for SMEs, including specific innovation-focused programmes. Used alongside private VC for working capital and growth.

Peruvian R&D incentive

Peru provides an R&D tax incentive granting up to 240% deduction on qualifying R&D expenditure for SMEs (175% for larger companies). Subject to CONCYTEC pre-approval. Relatively generous on paper but administratively heavy.

Peruvian VC ecosystem

Peru's VC scene is small but growing. Active funds include Salkantay Ventures, Angel Ventures and various regional Pacific Alliance vehicles. Cross-border participation from Mexican, Brazilian and US investors is common at growth stage.

Peruvian angel ecosystem

Peru has a growing angel scene driven by Crehana, Rappi-Peru, Yape and other Peruvian tech alumni. UTEC Ventures, Endeavor Peru and dedicated networks coordinate structured angel investment.

Cross-border venture debt

Peruvian venture debt is limited. Cross-border providers (Sympatico Capital, Partners for Growth) operate in Peru alongside COFIDE-backed lending. Typically deployed against ARR or contracted revenue from Series A onwards.

Employee equity schemes in Peru

Peruvian employee equity is administratively heavy. Most venture-backed Peruvian startups operate via an offshore holding entity (Delaware) for ESOP simplicity; phantom and virtual schemes are widely used in pure-Peruvian structures.

Standard stock options

Peruvian stock options are typically taxed at exercise as employment income at marginal rates. Less favourable than Western European or UK regimes; structuring around grant pricing matters.

Offshore (Delaware) ESOPs

Most venture-backed Peruvian startups operate via a Delaware holding parent over Peruvian operating subsidiaries. ESOPs at the offshore parent benefit from cleaner cap-table mechanics.

Phantom shares and SARs

Cash-settled equity-like instruments are widely used in Peruvian startups. The holder receives a cash bonus equal to the value of a notional option at exit. Taxed as employment income at payout.

Restricted Stock Units (RSUs)

Used at later-stage Peruvian companies, particularly Delaware-parent structures with US investors. Taxed as employment income at vesting at marginal rates for Peruvian-resident employees.

Option valuation

Peruvian startups typically peg option strike values to the price of the most recent priced round (often in USD via the offshore parent).
