How to fund your startup in Romania

Romania has the largest tech ecosystem in South-Eastern Europe, anchored by Bucharest, Cluj-Napoca, Timișoara and Iași. Public funding is anchored by EU structural funds via PNRR and POCU programmes; private VC scaled materially in the last five years.

Romanian R&D tax incentives

Romanian companies can claim a 50% additional deduction on qualifying R&D expenditure (effectively 150% deduction). IT employees in R&D roles benefit from full or partial income tax exemption (the long-running IT income tax exemption regime, narrowed in recent years). Together materially reduces the post-tax cost of building software in Romania.

EU PNRR and POCU funding

Romanian EU Recovery and Resilience Plan (PNRR) funding plus structural operational programmes (POCU, POIM) flow through ministerial agencies for R&D, digitalisation and the green transition. The largest single source of non-dilutive capital for qualifying Romanian SMEs.

Romanian VC ecosystem

Romania's VC scene has scaled significantly in the last five years. Active funds include Catalyst Romania, Early Game Ventures, ROCA X, GapMinder Venture Partners and Sparking Capital. Cross-border participation from European and US investors is common at growth stage.

Angel ecosystem and corporate VCs

Romania's angel scene anchors around UiPath, Bitdefender, Endava, Avira and Adobe Romania alumni - particularly significant after the UiPath IPO in 2021. Tickets typically €25k-250k per investor; structured rounds often syndicated across 5-15 angels.

InvestEU and EIB-backed lending

Romanian SMEs and innovative companies have access to EIB and InvestEU-backed lending via partner commercial banks. Often used alongside private VC and EU grant funding to extend non-dilutive runway, particularly for working capital and capex.

Venture debt

Limited domestic venture debt market. Kreos Capital, Claret Capital Partners and HSBC Innovation Banking operate in Romania via cross-border lending. Typically deployed against ARR or contracted revenue from Series A onwards.

Employee equity schemes in Romania

Romania's employee equity regime is workable but administratively heavy. Standard options are taxed at exercise as employment income; phantom and virtual schemes are widely used to manage the tax burden.

Standard stock options

Romanian stock options are taxed at exercise on the spread as employment income at marginal rates (10% income tax plus social and health contributions which can total ~35%). Less favourable than UK EMI; structuring around grant pricing matters for the employee outcome.

Phantom shares and SARs

Cash-settled equity-like instruments are widely used in Romanian startups. The holder receives a cash bonus equal to the value of a notional option at exit. Taxed as employment income at payout.

Restricted Stock Units (RSUs)

Used at later-stage Romanian companies, particularly those with US investors or a US parent. Taxed as employment income at vesting at marginal rates. Common at growth-stage companies given the heavy US influence on the Romanian tech ecosystem.

Direct share grants

Direct grants of Romanian SRL or SA shares are possible but generate immediate taxable employment income on the grant value. Used selectively for senior hires.

Option valuation

Romanian startups typically peg option strike values to the price of the most recent priced round. Independent valuations are useful for material grant programmes to support the ANAF (Romanian Tax Authority) position on fair market value.

Reporting and ANAF

Option exercises flow through Romanian payroll for income tax and CAS/CASS social and health insurance contributions. Annual employer reporting on equity events required. Worth aligning between cap-table tool, Romanian payroll provider and tax advisor.
